1. CALL MEETING TO ORDER – The 36th Annual Organizational Meeting of the Brandermill Community Association Board of Directors was called to order by President Rowe on May 3, 2010 at 6:30 PM, in the meeting room of Brandermill Woods, 14311 Brandermill Woods Trail, Midlothian, VA 23112. Directors Friedel, Guthrie, Hillman, Livingston, McGinniss and McLenagan, Community Manager Pritz and Recorder Judy Agee were present.

2. MEMBER VOICE - There were no speakers.

3. CONFIDENTIALITY AGREEMENTS – President Rowe stated confidentiality agreements were included in the board package and asked the board to return their signed copies. All directors signed and returned the confidentiality agreements except for Director Livingston.

President Rowe turned the meeting over to Community Manager Pritz for the election of officers.

4. ELECTION OF OFFICERS – Community Manager Pritz stated she had received responses from several board members who were interested in serving as officers.

Joyce Rowe - President - President Rowe noted she would like to carry forward as president and continue the direction the board has taken this year into next year, especially with the Master Plan projects.
Jason Livingston - President - Director Livingston waived comment.

MOTION: Director McLenagan moved to elect Joyce Rowe as President.
MOTION SECONDED: Director Friedel seconded.
MOTION CARRIED: President Rowe, Directors Friedel, Guthrie, Hillman, McGinniss and McLenagan approved. Director Livingston opposed.

John McLenagan -1st Vice President - Director McLenagan stated he would like to continue as 1st Vice President for this new term to assist with implementing the Master Plan.

MOTION: Director Friedel moved to elect John McLenagan as 1st Vice President.
MOTION SECONDED: Director Guthrie
MOTION CARRIED: Unanimously

Bob Friedel - 2nd Vice President - Director Friedel stated his interest in continuing to serve on the board as 2nd Vice President, which includes acting as board liaison with the NRC to support their efforts.

MOTION: Director Guthrie moved to elect Bob Friedel as 2nd Vice President.
MOTION SECONDED: President Rowe
MOTION CARRIED: Unanimously

Dick Guthrie - Treasurer - Director Guthrie expressed his interest in serving as Treasurer and to assist the Finance Committee especially in their efforts to develop the budget and educate the board and members on the budget process.

MOTION: Director Friedel moved to elect Dick Guthrie as Treasurer.
MOTION SECONDED: Director McGinniss
MOTION CARRIED: Unanimously

5. ADJOURNMENT –
President Rowe adjourned the meeting at 6:45 PM.
