Minutes - November 6, 2006

I. CALL MEETING TO ORDER – The November 6, 2006 meeting of the BCA Board of Directors was called to order by President Whitfield at 7 PM in the meeting room of Brandermill Woods, 14311 Brandermill Woods Trail, Midlothian, VA 23112. President Whitfield, Directors Bradner, Cook, Epps, Gibbons, Livingston, and Reamy, Community Manager Pritz and Recorder Judy Agee were present.

II. MEMBER VOICE – There were no speakers.

III. MOTION TO APPROVE MINUTES – October 16, 2006 -
MOTION: Director Gibbons moved to approve the minutes of the October 16, 2006 meeting, as amended.
MOTION SECONDED: Director Cook.
MOTION CARRIED: Unanimously

IV. PRESIDENT’S COMMENTS – President Whitfield reported that the Volunteer Appreciation Reception on October 18th was very organized and the volunteers were recognized for their work with the BCA staff and committees.
He reviewed the BCA open space report from the Chesterfield County Planning Department, which calculated the remaining open space at a deficit of approximately 25 acres. Based on the shortage of open space, no future development of open space can occur without a zoning amendment. The Planning Department will initiate the activity to resolve the current deficit. This zoning certificate is dated October 20th which can be appealed within 30 days. No action is required from the BCA. The board expressed thanks to the Planning Department staff for this important report.

V. TREASURER’S REPORT – Director Reamy had no report.

VI. MANAGER’S REPORT – Community Manager Pritz highlighted her written report. VDOT reported that the noise wall along Hull Street Road in front of Thornridge will require a permanent easement and they will discuss the viable options when they are closer to installation. The board members received a copy of the approved 2007 budget. Each board member received a bookmark that was presented to all attendees at the volunteer appreciation reception.

VII. POOL SLIDE PURCHASE – Community Manager Pritz presented information and several quotes for the purchase of pool slides. The Pool Committee reviewed this information and their recommendation was to install a pool slide style #203 at the St. Ledger Pool for the 2007 swim season and to remove the existing slides at North Beach and St. Ledger’s.

MOTION: Director Reamy moved to approve the recommendation of the Pool Committee to purchase a pool slide style #203 for installation at St. Ledger’s Pool with the most visually unobtrusive colors, and to remove the pool slide at North Beach Pool in 2006.
MOTION SECONDED: Director Whitfield.
MOTION CARRIED: Unanimously

VIII. NOMINATING COMMITTEE RESOLUTION – Community Manager Pritz presented a Resolution to Adopt a Nominating Committee for board review. The purpose of the committee would be to recruit, interview and select candidates for election to the Board of Directors. It was recommended that the board members provide suggested revisions to Community Manager Pritz for review at the next board meeting.

IX. MARINA UPDATE – Director Cook reviewed the minutes of the November 1st meeting of the Marina Renters. The members agreed that the marina should stay in place at the Brandermill Inn, but to be prepared to move if required. If the marina would need to be relocated, their recommended location was Sunday Park in front of the picnic area at the bulkhead. Director Reamy reviewed the Marina Relocation and Jetty Construction Cost Summary.

MOTION: Director Cook moved to approve keeping the marina at the present location and authorize the Community Manager to take whatever steps to prepare to move the marina to the Sunday Park location at the bulkhead, if necessary.
MOTION SECONDED: Director Epps.
MOTION CARRIED: President Whitfield, Directors Bradner, Cook, Epps, Gibbons and Reamy approved. Director Livingston opposed.

X. EXECUTIVE SESSION
MOTION: Director Epps moved to enter into executive session at 8:35 PM for the purpose of discussing a contractual matter.
MOTION SECONDED: Director Bradner.
MOTION CARRIED: Unanimously

XI. RETURN TO OPEN SESSION
MOTION: Director Epps moved to return to open session.
MOTION SECONDED: Director Bradner.
MOTION CARRIED: Unanimously

MOTION: Director Livingston moved to accept the 2007 audit proposal from Wells, Coleman & Company.
MOTION SECONDED: Director Epps.
MOTION CARRIED: Unanimously

XII. ADJOURNMENT
MOTION: Director Cook moved to adjourn the November 6, 2006 Board of Director’s meeting at 9:45 PM.

I. CALL MEETING TO ORDER – The October 16, 2006 meeting of the BCA Board of Directors was called to order by President Whitfield at 7:03 PM in the meeting room of Brandermill Woods, 14311 Brandermill Woods Trail, Midlothian, VA 23112. President Whitfield, Directors Epps, Gibbons, Livingston, and Reamy, Community Manager Pritz and Recorder Judy Agee were present. Directors Bradner and Cook were absent.

II. MEMBER VOICE – None were present.

III. MOTION TO APPROVE MINUTES – October 2, 2006 -
MOTION: Director Reamy moved to approve the minutes of the October 2, 2006 meeting, as amended.
MOTION SECONDED: Director Gibbons.
MOTION CARRIED: Unanimously

IV. PRESIDENT’S COMMENTS – President Whitfield had no report.

V. TREASURER’S REPORT – Director Reamy reviewed the Financials as of September 30, 2006, which are on track with the budget and will be presented to the Finance Committee on October 23, 2006.

VI. COMMITTEE REPORTS -
A. NRC – There was no NRC report available. An article in The Village Mill noted that the next NRC meeting is scheduled November 15th at 7 PM at Brandermill Woods to address transportation issues affecting Brandermill residents.
B. Pool Committee – As a representative of the Pool Committee, Chuck Rayfield reported that the pool cover at the North Beach Pool has been installed and that the members of the Pool Committee appreciate the board’s decision to purchase the cover. The Pool Committee’s written report was reviewed.
C. Environmental Committee – Chuck Rayfield reminded the board of the event scheduled for Saturday, October 28th to restore the vegetation at Sunday Park. Director Bradner will have scouts available to help with this project.
D. Activities Committee – Director Gibbons reported that several BCA board and staff members would meet with Greg Smith and other Brandermill Country Club staff in November.







VII. MANAGER’S REPORT – Community Manager Pritz highlighted her written report. Several board members questioned the location and legality of granting the easement for the noise wall along Hull Street Road in front of Thornridge, and Community Manager Pritz will verify this information and report to the board.

A. Community Standards – Director Reamy reviewed the Community Standards written report as of September 30, 2006.

VIII. 2007 BUDGET APPROVAL – Director Reamy provided the board with an update of various items made since the September 18th presentation of the proposed 2007 Budget, which resulted in no change in the operating net income. MOTION: Director Reamy moved to approve the 2007 Budget, as amended.
MOTION SECONDED: Director Gibbons.
MOTION CARRIED: Unanimously

IX. MARINA UPDATE – President Whitfield reported that the staff and guests of the Brandermill Inn were given notice on Tuesday, October 10th to vacate the premises by 12:01 PM on Wednesday, October 11th because of a Chapter 7 Bankruptcy filing, with the Department of Justice having authority over the property. After unsuccessful phone calls, the attorney for the BCA sent a letter to the trustee on October 16th requesting confirmation to allow the BCA to continue to have access to the marina under the current lease agreement until December 31, 2006. The alternative sites will have to meet the requirements of East-West Partners that the marina will not impede the direct view of a resident that was obtained at the time of development. Harbor Dredge and Dock has provided cost estimates for several alternative designs and renderings for the various locations. Director Livingston noted that the timing, location, design and financing will have an affect on the decision making process when moving the marina. It was decided any action on the marina would be deferred until the next board meeting on November 6th.

X. DAVID GEE PARCEL / BARTHOL DESIGN – President Whitfield attended a public meeting regarding the proposed development and rezoning of property on the back end of the Brandermill Business Park to light industrial (I-1) with access limited to East Boundary Road, and recommends that the board take a favorable position on this development subject to the suggested limitations of use.
