Minutes - May 4, 2009 Organizational Meeting

1. CALL TO ORDER – The 35th Annual Organizational Meeting of the Brandermill Community Association Board of Directors was called to order by President Bradner on May 4, 2009 at 7:00 PM, in the meeting room of Brandermill Woods, 14311 Brandermill Woods Trail, Midlothian, VA 23112.

2. MEMBER VOICE – There were no speakers.

3. CONFIDENTIALITY AGREEMENTS – President Bradner stated confidentiality agreements were included in the board packages and asked the board members to return their signed copies. All of the confidentiality agreements were returned except one.

4. ELECTION OF OFFICERS – Community Manager Pritz noted she received responses from the following board members with their 1st and 2nd choice of offices they would like to serve, in date order as received:

President Bradner stated that in order to maintain an orderly process, the motion for each office should begin with the nomination of the first person to reply with interest for each office. Amendments and/or substitutions would then be allowed.

Motion to elect President:

MOTION: Director McGinniss moved to elect Director Rowe as President.
MOTION SECONDED: Director Guthrie

AMENDED MOTION: Director Livingston moved to substitute Director McLenagan to be elected as President.
MOTION SECONDED: Director Friedel

Directors Rowe and McLenagan each stated their interests and strengths for the office of President.

AMENDED MOTION FAILED: Directors Friedel, McLenagan and Livingston approved. Directors Bradner, Guthrie, McGinniss and Rowe opposed.

MOTION CARRIED: Directors Bradner, Guthrie, McGinniss and Rowe approved. Directors Friedel, McLenagan and Livingston opposed.

President Joyce Rowe chaired this portion of the meeting.

Motion to elect 1st Vice President:

MOTION: Director Livingston moved to elect Director McLenagan as 1st Vice President in contradiction to the procedure as it was stated at the beginning of the meeting. President Rowe allowed the change in procedure.
MOTION SECONDED: Director Friedel

AMENDED MOTION: Director Guthrie moved to substitute Director Bradner to be elected as 1st Vice President.
MOTION SECONDED: Director Rowe

Directors Bradner and McLenagan each briefly stated their interests, background and strengths for the office of 1st Vice President.

AMENDED MOTION FAILED: Directors Bradner, Guthrie and Rowe approved. Directors Friedel, Livingston, McGinniss and McLenagan opposed.

MOTION CARRIED: Directors Friedel, Guthrie, Livingston, McLenagan and Rowe approved. Directors Bradner and McGinniss opposed.

Motion to elect 2nd Vice President:

MOTION: Director McLenagan moved to elect Director Friedel as 2nd Vice President.
MOTION SECONDED: Director Livingston

Director Friedel stated his interests, background and strengths for the office of 2nd Vice President, who will be the board liaison to the NRC. Director Bradner also noted his interest in this office and that he has been involved with the NRC for several years and assisted with writing the NRC ByLaws.

MOTION CARRIED: Directors Friedel, Guthrie, Livingston, McLenagan and Rowe approved. Directors Bradner and McGinniss opposed.

Motion to elect Treasurer:

MOTION: Director Bradner moved to elect Director Guthrie as Treasurer.
MOTION SECONDED: Director Friedel

Director Guthrie stated with his extensive background in management and working with budgets that experience would serve him well for this office.

MOTION CARRIED: Unanimously

2009-2010 BCA Board of Directors officers:

MOTION: Director McGinniss moved that the BCA Board of Directors meetings shall generally be governed by the current “Robert's Rules of Order,” newly revised where applicable and not inconsistent with other governing documents.
MOTION SECONDED: Director Bradner
MOTION CARRIED: Unanimously

5. ADJOURNMENT -
MOTION: Director Bradner moved to adjourn the 35th Annual Organizational Meeting of the Board of Directors at 7:45 PM.

1. CALL REGULAR MONTHLY MEETING TO ORDER – The May 4, 2009 BCA Board of Directors meeting was called to order by President Rowe at 7:50 PM in the meeting room of Brandermill Woods, 14311 Brandermill Woods Trail, Midlothian, VA 23112. Directors Bradner, Friedel, Guthrie, Livingston, McGinniss and McLenagan, Community Manager Pritz and Recorder Judy Agee were present.

President Rowe thanked Joel Bradner for his service as president, Andrea Epps for her service regarding land and zoning issues with Chesterfield County, John McLenagan for his help with establishing the Crime Prevention Committee and Dick Guthrie as board liaison to the NRC. President Rowe thanked those members of the community who continue to provide assistance and service to the BCA committees.

President Rowe stated her goals for chairing the board meetings were to include: following “Robert's Rules of Order” when conducting the meetings, during Member Voice members will be permitted to address the board for two minutes regarding subjects not on the meeting agenda, and members will address the board on agenda items when announced during that portion of the meeting followed only by board discussion except if the board needs further information from the member.

President Rowe encouraged all board members to come prepared to discuss the agenda items with the goal of having one meeting per month.

2. MEMBER VOICE – Frances Hillman of Huntgate Woods stated she would like to see the stone work and landscaping be budgeted for the remaining neighborhood entrances.
Richard Kury of Cove Ridge expressed concern that the board allocate time for members to state their concerns regarding agenda items during Member Voice, and urged the board to follow “Robert's Rules of Order” in conducting the board meetings.
Andrea Epps congratulated the newly elected board members and officers and stated she looks forward to working with the board during the coming year.

3. MOTION TO APPROVE MINUTES – April 6, 2009
MOTION: Director Bradner moved to approve the minutes of the April 6, 2009 meeting, as amended.
MOTION SECONDED: Director Friedel
MOTION CARRIED: Directors Bradner, Friedel, Guthrie and Livingston approved. President Rowe and Directors McGinniss and McLenagan abstained.

4. PRESIDENT’S REPORT – President Rowe did not have a report.
A. Director Reports – Director McGinniss thanked board candidates Andrea Epps, John McLenagan and Wayne Moyer for their assistance toward a very cordial campaign. Director McGinniss noted that while campaigning he heard a lot of ideas from members for improvements to the community. He has drafted a proposal for a community improvement grant for presentation at the next board meeting.

5. TREASURER'S REPORT – Joyce Rowe – President Rowe reviewed and discussed the 2009 Financial Statements for the 1st Quarter. She noted the Finance Committee met on April 27th .

6. MANAGER’S REPORT – Community Manager Pritz reviewed her written report. Community Manager Pritz noted that the pool memberships are ahead of last year, the management of concessions for North Beach and St. Ledger's pools has been arranged, and all pool drains have been brought into compliance. Director Guthrie requested that “The Village Mill” provide a reminder to members to use hang-tags in their vehicles since there is an increased number of non-residents wanting to fish in Sunday Park, The Landing and other boat launching areas. Community Manager Pritz reported that Russ Gulley with the Chesterfield County Planning Commission noted there is a position on the comprehensive plan steering committee to include a representative from Brandermill at their May 27th meeting. Community Manager Pritz reported AARP thanked the BCA for the use of the Harbour Pointe Clubhouse for tax preparation which benefited seniors and lower income residents. Director Guthrie thanked and recognized the BCA maintenance staff for their work on the overlook deck at The Landing.

7. COMMITTEE REPORTS
A. Crime Prevention Committee – Director McLenagan reported the committee has organized an event on May 13th at Harbour Pointe Clubhouse to have Chesterfield County Animal Control staff address encounters with animals.
B. Finance Committee – President Rowe reported the Finance Committee needed the board's list of priorities to be considered in the budgeting process. President Rowe suggested each board member provide their availability for a work session on a Saturday morning in June.
President Rowe suggested that Community Manager Pritz, Accounting Manager Margaret Covington and Treasurer Dick Guthrie meet to discuss salary ranges for BCA employees using the 2007 CAI Salary Survey.
C. NRC – Bob Strickland, 1st Vice Chair of the NRC, congratulated the new BCA board and officers. He thanked Director Guthrie for his assistance as board liaison during the past year and noted the NRC looks forward to working with Director Friedel in the upcoming year. The April 21st NRC meeting addressed the Old Hundred Road Study with a presentation by John McCracken and the consultants from JMT. The June 16th NRC meeting will feature a presentation by SportsQuest on their proposed facilities. Mr. Strickland requested the board provide the NRC with financial reports with their meeting agenda packet.
D. Pool – The Pool Committee report is attached.

8. WATERFRONT BUFFER POLICY – Taskforce –
President Joyce Rowe reported that she and the Taskforce members Andrea Epps, Theresa Biagioli, Bob Malek and Betsy Bolling helped develop the proposed shoreline buffer policy at the request of the board. Ms. Epps noted that the application and instruction forms were amended from the documents used by James City County and follow the Chesapeake Bay Act for use in making modifications in the buffer zone. The application would be submitted to Chesterfield County Environmental Engineering Department for review and approval.

Member Voice:
Norma Szakal of Nuttree Woods expressed concern that the county would give final approval of any application at a time when the county is in denial about its own lack of compliance with the Chesapeake Bay Preservation Act. She also was concerned about the view easement which is considered a real estate transfer of title.
Betty Clapp of Shallowford Trace stated it was her understanding that the county does not want this policy since they do not have the set up to handle the requests for Brandermill, which will set a precedent to do the same for other homeowner associations. Ms. Clapp urged the board not to vote on this policy tonight.
Betsy Bolling of Fortune's Ridge and a member of the Taskforce stated that the county cannot deed BCA property but can record a view easement that will run with the land.
Theresa Biagioli of Watch Harbour emphasized recording the view easement for certain properties that have had disputes would be beneficial but should not be required for all properties.
Chuck Rayfield of Shallowford Landing reported that he had contact with several staff in the county planning and water quality departments regarding this policy and was informed that Planning Commissioner Kirk Turner has not yet reviewed the policy. Mr. Rayfield expressed concern that a lot of issues need confirmation before proceeding with approval.
Bob Malek of Regatta Pointe noted that Andrea Epps has given a review of this policy and reported she has spoken to the appropriate county officials who have reviewed these documents. He also stated that all five members of the Taskforce were in agreement on these documents.

MOTION: Director Friedel moved to accept the Shoreline Buffer Modification Policy and Forms, as presented.
MOTION SECONDED: Director McLenagan

Director McLenagan urged the board to approve the buffer policy and forms and that any revisions can be made at a later time. Director Livingston expressed concern about the authority to grant an easement by the community to the county, and if the community has to vote to grant this perpetual interest in the land. Director Bradner suggested that the board confirm this concern about the easement and to receive a written statement from Chesterfield County that this policy is correct and workable. Director Guthrie stated his concern that any action taken would retain Brandermill's leadership in the community to protect the reservoir with an environmental focus, that Chesterfield County provide a written opinion on this policy, that the application fee be removed, and that a six-month status report be required to review this policy. Director Livingston suggested that the board rely on counsel's advice regarding his opinion of this policy and the board's authority to grant an easement.

AMENDED MOTION: Director Friedel moved to amend the motion to have this policy become effective July 1, 2009, to remove the $25 application fee, and require a six-month status report to review this policy.
MOTION SECONDED: Director McLenagan

AMENDED MOTION CARRIED: Unanimously

MOTION CARRIED: President Rowe, Directors Friedel, Guthrie, Livingston and McLenagan approved. Directors Bradner and McGinniss opposed.

9. EXECUTIVE SESSION – To discuss contracts
MOTION: Director Friedel moved to enter into executive session to discuss a contract and possible legal action.
MOTION SECONDED: Director McGinniss
MOTION CARRIED: Unanimously

10. RETURN TO OPEN SESSION
MOTION: Director McGinniss moved to return to open session.
MOTION SECONDED: Director Bradner
MOTION CARRIED: Unanimously

No action was taken.

11. ADJOURNMENT –
MOTION: Director Livingston moved to adjourn the May 4, 2009 Board of Directors meeting at 10:20 PM.

1. CALL SPECIAL MEETING TO ORDER – The April 20, 2009 BCA Board of Directors special meeting was called to order by President Bradner at 8:03 PM in the meeting room of Brandermill Woods, 14311 Brandermill Woods Trail, Midlothian, VA 23112. Directors Friedel, Guthrie, McLenagan, Epps, Livingston, and Community Manager Pritz were present. Director Rowe was absent.

2. MEMBER VOICE – Mamie McNeal, NRC Communications Chair read a statement that she had prepared regarding the NRC's refusal to publish a statement written and read by President Bradner at the April 6, 2009 Board of Directors meeting.

3. EXECUTIVE SESSION
MOTION: Director Friedel moved to enter into executive session to discuss pending or probable litigation.
MOTION SECONDED: Director Guthrie
MOTION CARRIED: President Bradner, Directors Epps, Guthrie, Friedel, McLenagan, McGinniss approved. Director Livingston abstained.

Director Livingston excused himself from the meeting.

4. RETURN TO OPEN SESSION
MOTION: Director Guthrie moved to return to open session.

Adjacent property owners resolve Sunday Park noise and parking issues

On the evening of May 20, Chesterfield Planning Commission Chair Russell Gulley of the Clover Hill District told a crowd of approximately 40 concerned citizens that in his 17 years on the planning commission, he had never heard a case as complex as the zoning amendment for The Boathouse Restaurant in Sunday Park. (more...)


Board authorizes grant funds for neighborhood projects

Brandermill residents to serve on county plan steering committee
